These Terms and Conditions ("Terms") govern the sale of LED displays ("Products") by J Signs and Graphics ("Seller") to any person or entity ("Buyer"). By purchasing Products from J Signs and Graphics, Buyer agrees to these Terms.

Order Placement and Acceptance:

• All orders for Products are subject to acceptance by J Signs and Graphics. Acceptance may be evidenced by an order confirmation or the shipment of Products.

• J Signs and Graphics reserves the right to refuse any order at its discretion.

 

Prices and Payment:

• Prices for Products are as stated in J Signs and Graphics' price list or as agreed upon in writing between J Signs and Graphics and Buyer.

• A 50% deposit is required for all orders upon placement.

• Payment terms for the remaining balance are specified in the invoice issued by J Signs and Graphics. Unless otherwise agreed, the balance is due upon completion of the order and prior to delivery.

• Prices are exclusive of any applicable taxes, duties, or shipping charges, which shall be the responsibility of Buyer.

 

Delivery:

• Delivery dates provided by J Signs and Graphics are estimates only and are not guaranteed.

• Risk of loss or damage to Products passes to Buyer upon delivery of the Products to the carrier.

• Buyer shall inspect Products upon delivery and installation and notify J Signs and Graphics of any visible defects or damages within 30 days of receipt.

 

Warranty:

• J Signs and Graphics warrants that Products will be free from defects in material and workmanship for a period of 5 years from the date of delivery.

• Buyer's sole remedy for breach of this warranty shall be, at J Signs and Graphics' option, repair, replacement, or refund of the purchase price.

• This warranty does not cover damage resulting from misuse, abuse, neglect, accidents, or unauthorized modifications.

 

Limitation of Liability:

• J Signs and Graphics' liability for any claim arising out of or relating to the sale of Products shall be limited to the purchase price paid by Buyer for the Products giving rise to the claim.

• In no event shall J Signs and Graphics be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, or loss of data.

 

Intellectual Property:

• Buyer acknowledges that J Signs and Graphics retains all rights, title, and interest in and to any intellectual property embodied in the Products.

• Buyer shall not reverse engineer, disassemble, or otherwise attempt to derive the source code or design of the Products.

 

Governing Law and Jurisdiction:

• These Terms shall be governed by and construed in accordance with the laws of North Carolina.

• Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the courts of North Carolina.

 

Miscellaneous:

• These Terms constitute the entire agreement between J Signs and Graphics and Buyer with respect to the sale of Products and supersede all prior or contemporaneous agreements and understandings, whether oral or written.

• These Terms may not be modified or amended except in writing signed by both parties.

 

By purchasing Products from J Signs and Graphics, Buyer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
